Effective 12 October 2026. Landowners, agents, and developers must accept these Terms before using Ipile Joint Ventures.
Please note Section 7.
Development on any land where a connection was made through Ipile Joint Ventures is prohibited unless it proceeds under an agreement concluded through Ipile Joint Ventures or with Ipile Joint Ventures’ written consent.
These Terms and Conditions (the “Terms”) govern your access to and use of the Ipile Joint Ventures website, workspaces, and related services (the “Platform”), operated by Ipile Joint Ventures (“Ipile”, “we”, “us”).
By creating an account, or by selecting “I agree” when asked, you confirm that you have read, understood, and accept these Terms. If you do not agree, you must not use the Platform.
These Terms apply to every landowner, agent, and developer account. Where you act for a company or another person, you confirm that you have authority to bind them, and these Terms bind them as well as you.
2. Definitions
“Landowner” means a person who lists land on the Platform that they own or are entitled to deal with. “Agent” means a person who lists land on behalf of a Landowner under a written mandate. “Developer” means a person or business that uses the Platform to identify land for development or a joint venture.
“Connection” means any introduction, enquiry, proposal, counteroffer, site visit request, exchange of contact details, or other contact between a Developer and a Landowner or Agent that takes place through, or results from information obtained on, the Platform.
“Introduced Land” means any land, plot, or property listed on the Platform in respect of which a Connection has been made. “Introduced Party” means the other party to a Connection, together with their affiliates, directors, employees, nominees, and anyone acting on their behalf.
“Development” means any construction, building, site clearing, demolition, subdivision, joint venture works, or other physical or commercial development activity on land, including preparatory works and any agreement to carry out such activity.
3. Accounts and eligibility
You must be at least 18 years old and legally able to enter into binding contracts. You must provide accurate information and keep your account details current.
You are responsible for keeping your login details secure and for all activity carried out through your account. Tell us promptly if you suspect unauthorized access.
You may hold only the account type that reflects your actual role. Officer accounts are assigned by Ipile and are not available through public signup.
4. Ipile’s role
Ipile is a platform that introduces landowners and agents to developers. Ipile is not a party to any agreement between users, is not an estate agent, lawyer, surveyor, or valuer, and does not act for any user.
A “Verified” status means only that the Ipile review team has completed its internal document review and recorded that status on the Platform. It is not a guarantee of title, a legal opinion, or confirmation that land is free from encumbrances, disputes, or government acquisition. You must carry out your own independent legal, survey, and commercial due diligence before entering into any transaction.
5. Landowner and agent obligations
If you list land, you confirm that you own it or are lawfully authorized to deal with it, that the information and documents you submit are genuine, complete, and accurate, and that you will promptly update or withdraw a listing that is no longer accurate or available.
Agents must hold a valid written mandate from the Landowner for each listing, upload that mandate when asked, and ensure the Landowner is made aware of and bound by these Terms, including Section 7. An Agent is responsible for any breach of these Terms by the Landowner they represent in connection with a Connection made through the Agent’s account.
6. Developer obligations
If you register as a Developer, you confirm that your business details and CAC documents are genuine and current, and that any proposal you submit is made in good faith.
You must not use information obtained through the Platform for any purpose other than evaluating and pursuing a development opportunity through Ipile in accordance with these Terms.
7. Development restriction and non-circumvention
7.1 No development on Introduced Land outside Ipile. You must not carry out, begin, finance, or permit any Development on Introduced Land, whether directly or indirectly, with or for an Introduced Party, except under a written agreement concluded through Ipile or with Ipile’s prior written consent.
7.2 No circumvention. You must not avoid, bypass, or attempt to bypass Ipile, including by contacting an Introduced Party outside the Platform to conclude a transaction about Introduced Land, by using a nominee, affiliate, or related company, or by structuring a transaction to avoid any fee payable to Ipile.
7.3 Duration. The restrictions in this Section 7 apply while you hold an account and for twenty-four (24) months after the date of the most recent Connection relating to the Introduced Land, even if your account is closed or suspended in the meantime.
7.4 Notification. If you intend to proceed with any Development or joint venture on Introduced Land with an Introduced Party, you must notify Ipile in writing before signing any agreement or starting any works.
7.5 Consequences of breach. If you breach this Section 7, Ipile may suspend or close your account and remove your listings or proposals. You also agree to pay Ipile, as a genuine pre-estimate of its loss and not as a penalty, an introduction fee equal to five percent (5%) of the total agreed value of the Development or joint venture, or ₦5,000,000, whichever is higher. Ipile may also seek an injunction or any other remedy available at law.
7.6 Prior relationships. This Section does not apply to a party you can show, by written evidence, that you had an existing relationship with about the same land before the Connection was made on the Platform.
8. Fees
Creating an account and listing land are currently free. Ipile may charge a success or introduction fee where a joint venture or other transaction is concluded between parties connected through the Platform. Any fee will be notified to you in writing before it becomes payable.
9. Prohibited conduct
You must not submit false, forged, or misleading documents or information; list land you are not entitled to deal with; impersonate another person or business; harass or defraud another user; scrape, copy, or resell Platform data; interfere with the security or operation of the Platform; or use the Platform for any unlawful purpose, including money laundering.
10. Your content and documents
You keep ownership of the information, photographs, and documents you upload. You grant Ipile a non-exclusive licence to store, review, and display them as needed to operate the Platform, including showing listing details and photographs to signed-in developers once verified.
Private title, identity, and mandate documents are available only to you and authorized Ipile review staff, and are not displayed in the marketplace.
11. Privacy and contact sharing
Ipile processes personal data in accordance with the Nigeria Data Protection Act 2023. When a proposal or site visit is accepted, each party may view the other party’s name, email address, and phone number so that they can continue the conversation. Contact details obtained this way remain subject to Section 7.
12. Suspension and termination
Ipile may suspend or close an account, or remove a listing, proposal, or profile, if we reasonably believe these Terms have been breached, information is inaccurate, or it is necessary to protect users or the Platform. You may close your account at any time by contacting us. Sections 7, 13, 14, and 16 continue to apply after closure.
13. Disclaimers and limitation of liability
The Platform is provided “as is”. To the fullest extent permitted by law, Ipile is not liable for any loss arising from a user’s listing, documents, proposal, conduct, or any agreement between users, or for indirect or consequential loss, loss of profit, or loss of opportunity.
Nothing in these Terms limits liability that cannot be limited under Nigerian law.
14. Indemnity
You agree to indemnify Ipile against claims, losses, and reasonable costs arising from your breach of these Terms, any inaccurate information or documents you submit, or any dispute between you and another user.
15. Changes to these Terms
We may update these Terms. When we make a material change, we will ask you to review and accept the updated Terms before you can continue using your workspace.
16. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute through good-faith negotiation. A dispute not resolved within thirty (30) days may be referred to arbitration in Abuja under the Arbitration and Mediation Act 2023, without preventing Ipile from seeking urgent injunctive relief from the courts of the Federal Capital Territory.
17. Contact
Questions about these Terms can be sent to the Ipile team through the contact details published on the Help & resources page.
